British drug maker Shire (SHPG) turned up its nose at the $46.5 billion offer by U.S. rival AbbVie (ABBV), in the latest move by a U.S. company to pursue a deal for a company with a lower tax rate. Simply put, Shire says the bid is to low and released ambitious new targets to more than double its annual sales to $10 billion by 2020.
What will it take to get the deal done?
Leerink analyst Jason Gerberry says AbbVie�� cash and stock offer is lacking in certain areas, namely the stock component is too high and there�� no contingent right value to reward Shire shareholders for pipeline assets that could pop down the road. He writes:
We believe the race for doing tax inversions will only accelerate, which works in SHPG�� favor, meaning demand for SHPG will be high and SHPG should seriously considering accepting a slightly higher offer that is more cash-rich and also allows shareholders to enjoy the potential upside if products like Premiplex or lifitegrast get approved. Next steps: ABBV will need to announce its firm intention to make another offer by 7/18. Other potential acquirers we could envision stepping in include AGN, PFE, and BMY.

Another under-$10 health care player that's starting to move within range of triggering a major breakout trade is Medical Action Industries (MDCI), which develops, manufactures, markets and supplies a variety of disposable medical products. This stock has been on fire so far in 2013, with shares up sharply by 129%.
If you take a look at the chart for Medical Action Industries, you'll notice that this stock has been trending sideways and consolidating for the last month and change, with shares moving between $5.84 on the downside and $6.76 on the upside. Shares of MDCI are now starting to spike higher right off its 50-day moving average of $6.09 a share, and it's quickly moving within range of triggering a major breakout trade above the upper-end of its sideways trading chart pattern.
Market players should now look for long-biased trades in MDCI if it manages to break out above its 200-day moving average at $6.67 a share and then once it takes out some more key overhead resistance levels at $6.76 to $7.13 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 98,989 shares. If that breakout hits soon, then MDCI will set up to re-test or possibly take out its next major overhead resistance levels at $9.50 to $10 a share.
Traders can look to buy MDCI off any weakness to anticipate that breakout and simply use a stop that sits right below some key near-term support levels a $5.84 to $5.50 a share. One can also buy MDCI off strength once it clears those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

The company?s Neighborhood Targeted segment is involved in the print and media placement of traditional free-standing solo insert formats and specialty print promotion products; offers newspaper-delivered or direct-to-door sampling products that give manufacturers the ability to cover approximately 60 million households; and helps clients to run their promotional advertising directly on the pages of newspapers by brokering advertising space. The company?s Free-standing Inserts segment prints and distributes four-color booklets containing promotions, primarily coupons from multiple clients through newspapers and shared mails. Its International, Digital Media, and Services segment provides coupon clearing, analytical promotion information management products, and marketing services for retailers and consumer-packaged goods manufacturers; and promotion security and consulting services, as well as produces direct-mail programs based on multiple data sources, including frequent shopper card data.
